The rules and regulations for the use of Spider Strive’s Website and Services.

By accessing this website, we assume you accept these terms and conditions. Do not continue to use Spider Strive if you do not agree to take all of the terms and conditions stated on this page.

1. Definitions

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice, and all Agreements:

  • “Client”, “You”, and “Your” refers to you, the person logging on to this website and compliant with the Company’s terms and conditions.
  • “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to Spider Strive.
  • “Party”, “Parties”, or “Us”, refers to both the Client and ourselves.

2. Services

Spider Strive provides digital marketing services including, but not limited to, Search Engine Optimization (SEO), Web Development, Pay-Per-Click (PPC) Advertising, and Graphic Design. The specific deliverables for each project will be outlined in a separate Proposal or Service Agreement signed by the Client.

3. Payment Terms

Unless otherwise agreed in writing:

  • Project-Based Work: A 50% deposit is required to commence work (Web Development, Design). The remaining 50% is due upon project completion or launch.
  • Retainers (SEO/PPC): Monthly fees are billed in advance on the 1st of every month. Work will pause if payment is not received within 7 days of the invoice date.
  • Third-Party Costs: The Client is responsible for direct payments to third-party platforms (e.g., Google Ads budget, hosting fees, domain registration).

4. Intellectual Property

Upon full payment of all invoices:

  • Client Ownership: The Client owns the final designs, website code, and content created specifically for their project.
  • Agency Rights: Spider Strive retains the right to use the completed project in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) is signed.
  • Tools & Methodologies: Any proprietary tools, frameworks, or pre-existing code libraries used by Spider Strive remain the property of the Company.

5. Client Responsibilities

To ensure the success of the project, the Client agrees to:

  • Provide all necessary access credentials (CMS, Google Analytics, Hosting) in a timely manner.
  • Provide feedback on drafts within 5 business days. Delays in feedback will result in a shift of the project timeline.
  • Ensure that all materials (text, images) provided to Spider Strive do not infringe on any third-party copyrights.

6. Limitation of Liability

In no event shall Spider Strive, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this website or our services. Spider Strive shall not be held liable for any indirect, consequential, or special liability arising out of business interruption, loss of profits, or loss of data.

SEO Disclaimer: While we use industry-best practices, we do not guarantee specific rankings (e.g., “#1 on Google”) as search algorithms are third-party systems outside our control.

7. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia (KSA) and you irrevocably submit to the exclusive jurisdiction of the courts in that location.

8. Termination

Either party may terminate a monthly retainer agreement with 30 days’ written notice. For project-based work, if the Client terminates the project early, they are liable for all work completed up to the date of cancellation.
